Terms and conditions of – Direct Purchase

1. The “customer” is the customer referred to in any documentation and the “owner” is Ginger Mats Ltd or its successor in title.

2. Order Details: It is the customer’s responsibility to ensure that the order details are correct, in particular respect to colour, size and type of mat.

3. Title of Goods: All goods remain the property of Ginger Mats Ltd, until full payment, including any tax and or delivery charge, has been made to us. Responsibility for the goods passes to the customer immediately the same are delivered to such customer.

4. Payment Terms: Customers purchasing goods that are “in stock” or that can be delivered within twenty days of purchase must pay for the goods at the time of purchase. In all other cases a 60% deposit must be paid, the balance being due on delivery. We reserve the right to charge debit collection fees and court costs while recovering outstanding or overdue monies, interest will be charged at 4% over base rate.

5. Cancelation: No cancelation request will be accepted once the order is placed by the customer, payment or signature of any form constitutes for placement of an order.

6. Quality: In the unlikely event of any defect with the goods supplied, this must be notified to Ginger Mats Ltd in writing within seven days of delivery.

7. Sizing: Mat sizes may vary manufacturer’s tolerance of +/- 5%.

8. Variations: Any variation of these terms and conditions must be made and signed by a Director of Ginger Mats Ltd.

9. Governing Law: This agreement shall be governed by and constructed in accordance with English Law.

Terms and conditions of – Service/Rental

1. Order Details: The items marked on the service agreement will be supplied and serviced on the agreed exchange basis.

2. Payment Terms: Ginger Mats Ltd standard rental charge is annually in advance and will be subject to VAT at the current rate. All other invoices are 30 days from the point of invoice (Unless otherwise agreed) after which interest will be charged at 4% over base rate. We reserve the right to charge debit collection fees and court costs while recovering outstanding or overdue monies.

3. Title of Goods: All articles remain the property of Ginger Mats Ltd, and any item lost or damaged will be charged at the replacement price.

4. Agreement Period: As specified on Service Agreement

i. Three Year Term Contract: Three years from the service start date. The agreement will continue until terminated in writing by either party not giving less than 3 months notice. If the customer wishes to terminate the agreement prior to the expiry date then they will be liable to 100% of the rental owing (Unless otherwise agreed).

OR

ii. One Year Term Contract: One year from the service start date. The agreement will continue until terminated in writing by either party not giving less than 6 weeks notice. If the customer wishes to terminate the agreement prior to the expiry date then they will be liable to 100% of the rental owing (Unless otherwise agreed).

5. Emergency Service: Emergency service visits requested outside our regular service visits will incur an additional charge.

6. RPI Increase: Prices quoted are fixed for 12months but may be subject to review thereafter and the customer will be notified in writing at least 1 month before implementation.

10. Quality: In the unlikely event of any defect with the goods supplied, this must be notified to Ginger Mats Ltd in writing within seven days of delivery.

11. Change of ownership: After any change of ownership or control of the customer’s business, the original customer remains liable under this agreement for all goods supplied before the change and all changes relating thereto until either:

i. The customer has given due notice to terminate in accordance with this agreement.
ii. The owner has entered into a new agreement with the new management.

12. Termination: This agreement may be terminated forthwith by the owner if the customer is in breach of any obligations under this agreement or being a company that goes into liquidation or commits an act of bankruptcy.

13. Variations: Any variation of these terms and conditions must be made and signed by a Director of Ginger Mats Ltd.

14. Governing Law: This agreement shall be governed by and constructed in accordance with English Law.
